Introduction and acceptance
These Terms of Service ("Terms") are a legal agreement between you (the café, restaurant or other business using the Service, "you" or "Customer") and WaslChat (Proprietor: Shaik Jafurulla), Andhra Pradesh, India ("WaslChat", "we", "us" or "our"). Ordova is a product of WaslChat.
By registering for, accessing or using the Ordova web application, guest menus, APIs and related services (together, the "Service"), you accept these Terms and our Privacy Policy, which is part of these Terms. If you use the Service on behalf of a business, you confirm that you are authorised to bind that business to these Terms.
Section 15 sets out the terms that apply to guests who order through an Ordova menu.
The Service
Ordova is software for cafés and restaurants. It provides QR menus, table and pick-up ordering, open tabs and split bills, an orders board and kitchen display, waiter and staff tools, shifts, sales reports, AI-assisted features, website and embedding tools, and an API.
Online payments use your own payment account. You connect your own account with a payment provider (currently Tap). Guests pay through that provider's secure page, and the money is settled by the provider directly to you. WaslChat never receives, holds or settles your guests' money, and the provider bills its own fees to you. WaslChat charges only its subscription fees.
Some features depend on other services, for example WhatsApp messages sent through WaslChat's WhatsApp platform, which may be switched off or limited. We may add, change or remove features over time to improve the Service.
Eligibility and accounts
The Service is intended for businesses and for users who are at least 18 years old. To use it you create an account with a valid email address and password. You agree to give accurate, current and complete information and to keep it up to date.
You are responsible for keeping your login details, staff PINs and payment keys safe, and for all activity under your account, including the actions of staff you add. Tell us promptly at [email protected] if you suspect any unauthorised use.
Free trial, plans and billing
- Free trial. New accounts get a 7-day free trial with every Pro feature and up to 3 branches. No card is needed. When the trial ends, new orders pause until you choose a plan. Your menu stays visible to guests and your data is kept.
- Plans. The Service is offered on monthly plans (currently Starter and Pro), with optional extra branches, as shown on our pricing page and at checkout.
- Currency. Prices are shown in Kuwaiti dinar. Subscriptions are charged in US dollars at the amount shown at checkout.
- Merchant of record. Subscription payments are processed by Dodo Payments, our merchant of record. Your purchase is also subject to Dodo Payments' terms, and Dodo Payments handles payment processing, invoicing and applicable taxes.
- Renewal and cancellation. Subscriptions renew automatically each month until cancelled. You can cancel at any time to stop future renewals; cancellation takes effect at the end of the current billing period.
- Failed payments. If a renewal fails, ordering keeps working for 7 days while you update your payment details. After that, new orders pause until the subscription is paid.
- Changes. Plan and branch changes are charged or credited when you make them, as shown before you confirm. We will give notice before changing the price of an existing plan.
- Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes, levies or duties.
- Refunds. Except where required by applicable law, fees are non-refundable, and there are no refunds or credits for partial periods, unused time or unused features.
Your sales to guests
You sell your food and drinks directly to your guests. WaslChat is not a party to that sale. You are responsible for your menu, prices, descriptions, allergen and dietary information, availability, food safety, service, receipts and any refunds to guests, and for taxes on your sales.
Ordova marks an online payment as paid only after your payment provider confirms it. Payment disputes, chargebacks and refunds to guests are between you, your guest and your payment provider.
Acceptable use
When using the Service, you agree that you will not:
- Send spam, or marketing messages to guests who have not agreed to receive them;
- Upload or show unlawful, fraudulent, deceptive, harassing, hateful, infringing or otherwise harmful content;
- Use the Service to sell anything that is illegal where you operate;
- Reverse engineer, decompile, scrape, or try to gain unauthorised access to the Service or its systems;
- Interfere with, overload or disrupt the Service, or use it to build a competing product;
- Use the Service in violation of any applicable law or anyone else's rights.
We may suspend or limit accounts that we reasonably believe break this policy, to protect the Service, our Customers, guests or others.
Customer responsibilities
You are solely responsible for:
- Your payment provider account and keys, and your standing with that provider;
- Getting and keeping valid consent from guests before sending them offers or other marketing, and honouring opt-outs;
- Handling your guests' personal data lawfully, including telling them how you use it;
- The accuracy of your menu, prices and allergen information, and checking anything drafted by AI before you publish it;
- Complying with all laws that apply to your business, including food safety, consumer protection, tax and data protection; and
- Your account settings and the conduct of the staff you give access to.
Keep a way to take orders and payments at your counter. If the Service, the internet or a payment provider is unavailable, you remain able to serve your guests.
Third-party services
The Service works with third-party services, including your payment provider (such as Tap), Dodo Payments (subscriptions), Anthropic (AI features), WaslChat's WhatsApp platform and Meta (WhatsApp messages), our hosting and network providers, and browser notification services. Your use of those services is subject to their own terms and policies.
WaslChat does not control these third parties and is not responsible for their availability, outages, changes to features, pricing or policies, or for their acts or omissions. A change made by a third party may affect or interrupt the Service, and we may need to change the Service in response.
AI features
Some features use artificial intelligence, for example drafting a menu from photos of your printed menu and weekly sales insights. AI output can be wrong or incomplete. Review it before you rely on it or publish it, especially names, prices and allergen information.
Intellectual property
The Service, including its software, design, the Ordova name and logo, and all related intellectual property, is and remains the property of WaslChat and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your business during your subscription or trial.
You keep ownership of the content and data you submit, such as your menu, photos and orders ("Customer Content"). You grant WaslChat a licence to host, process, show and transmit Customer Content only to provide and improve the Service, including showing your menu to guests. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.
Data and privacy
Our collection and use of personal data is described in our Privacy Policy. For personal data about your guests and staff that the Service handles for you, you are the controller and WaslChat acts as your processor, handling it in line with the Privacy Policy and applicable law. You are responsible for having the rights and consents you need for that data.
Service availability and disclaimers
The Service is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, error-free or secure, and we do not give any uptime guarantee unless agreed in a separate written service-level agreement. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Beta or preview features are provided without warranty and may be changed or removed at any time.
Limitation of liability
To the maximum extent permitted by applicable law, WaslChat and its proprietor will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, sales, data, goodwill or business, arising out of or relating to the Service, even if advised of the possibility of such damages.
Our total liability for all claims relating to the Service will not exceed the subscription fees you paid to WaslChat for Ordova in the twelve (12) months immediately before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
Indemnification
You agree to indemnify, defend and hold harmless WaslChat and its proprietor from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Customer Content, menu, food, drinks or service; (c) your breach of these Terms, any applicable law or any third party's terms; or (d) claims by your guests or others relating to their orders, payments, refunds or your messages to them.
Guests ordering through an Ordova menu
If you order through a café's or restaurant's Ordova menu, you are buying from that café, not from WaslChat. Ordova provides the menu and ordering on the café's behalf. Prices, availability, allergen information, your food and drinks, and any refunds are the café's responsibility, so please ask the café's staff.
Online payments are processed by the café's payment provider on its secure page. Ordova does not see or store your card details. Please do not place false orders or misuse the menu. How your personal data is handled is explained in our Privacy Policy.
Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees, use the Service unlawfully, or where needed to protect the Service or others.
When your access ends, your right to use the Service ends. We will keep or delete data as described in our Privacy Policy. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification and governing law) will survive.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, give additional notice, for example in your dashboard or by email. Your continued use of the Service after the changes take effect means you accept the updated Terms.
Governing law and jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to any mandatory local law that applies to you, the courts located in Andhra Pradesh, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
We serve customers in Kuwait, the wider GCC and other regions. You may also have rights under the mandatory consumer-protection laws of your country, which these Terms do not override.
